General Terms & Conditions
Last updated: June 2026
1. Definitions
2. Applicability
These terms and conditions apply to all products, offers, agreements and services performed or provided by Let’s Talk Egyptian. Deviations are valid only if agreed in writing between the parties. These terms and conditions also apply to follow-up agreements and/or additional work.
All terms and conditions in these general terms and conditions are not only made for the benefit of Let’s Talk Egyptian, but also for the benefit of all persons working for Let’s Talk Egyptian and all persons or third parties engaged by Let’s Talk Egyptian in the execution of the agreement.
The most recent version of Let’s Talk Egyptian’s general terms and conditions will apply. Let’s Talk Egyptian may at any time, without prior notice and stating reasons, unilaterally update these general terms and conditions. The latest version will then apply to all existing and new agreements.
3. OFFERS
All offers made by Let’s Talk Egyptian are non-binding, unless an acceptance period is explicitly indicated in the offer. Let’s Talk Egyptian has the right to withdraw from the assignment within one week after the customer has accepted the offer in writing, without being held liable for any compensation.
Offers will be made in writing, unless urgent circumstances make this impossible.
Offers are based on information provided by the customer. If that information turns out to be incorrect or incomplete, Let’s Talk Egyptian is entitled to adjust the prices, deadlines and other conditions stated.
Let’s Talk Egyptian cannot be held to its offer if the customer understands or could reasonably understand that the offer, or any part thereof, contains an obvious mistake, slip, printing, typesetting or typing error.
Offers do not automatically apply to future orders or repeat orders.
4. Realization of the agreement
The agreement is concluded once the customer has accepted in writing the offer made by Let’s Talk Egyptian, for example through the checkout on the website. If the customer’s acceptance – whether on minor points – deviates from the offer of Let’s Talk Egyptian, the agreement is concluded if Let’s Talk Egyptian has agreed to these deviation(s) in writing.
If the customer places an order with Let’s Talk Egyptian without a prior offer, Let’s Talk Egyptian will only be bound by this order after it has confirmed this to the customer in writing.
Agreements will only become binding on Let’s Talk Egyptian by written confirmation from Let’s Talk Egyptian or as soon as Let’s Talk Egyptian – without objection of the customer – has started executing the order.
5. Execution of the agreement
Let’s Talk Egyptian determines the way in which, the means with which and by which person(s) the agreement will be executed. Let’s Talk Egyptian will perform its services to the best of its knowledge and ability, with due care and skill. However, Let’s Talk Egyptian has a best-efforts obligation with respect to the services rendered and cannot be held accountable based on an obligation to achieve a result, because a successful result also depends on the commitment and motivation of the customer and the observance of agreements and following advice. Let’s Talk Egyptian can therefore not be held liable for disappointing results and/or not achieving the intended objectives because of its services.
Let’s Talk Egyptian is free to outsource all or part of the execution of the agreement to third parties. Let’s Talk Egyptian is responsible for the assessment of suitability of these third parties.
If for the execution of the agreement or for the delivery of certain goods or services a term has been agreed upon or given, this is only indicative and never to be considered as a fatal term. Exceeding a deadline does not constitute an attributable shortcoming by Let’s Talk Egyptian and is no ground for dissolution of the agreement.
If during the execution of the agreement it appears that for a proper execution thereof it is necessary to modify or supplement it, the parties will timely and in mutual consultation proceed to adapt the agreement.
If the nature, scope or content of the agreement is changed, whether or not at the request or indication of the customer, this may have consequences for the originally agreed amount, execution or delivery date and/or other conditions. Let’s Talk Egyptian will notify the customer of price changes resulting from an amendment to the agreement.
If the agreement is amended, including a supplement, Let’s Talk Egyptian will only be entitled to execute the agreement after it has been approved by the customer. The failure to execute or not immediately execute the amended agreement does not constitute an attributable shortcoming by Let’s Talk Egyptian and is no ground for the customer to terminate or cancel the agreement.
Without being in default, Let’s Talk Egyptian can refuse a request to amend the agreement if this could have qualitative and/or quantitative consequences for the work to be carried out in that context.
Let’s Talk Egyptian reserves the right to use the client’s name, project and work performed as a reference or example for all commercial purposes, without any compensation to the client, except for mandatory provisions regarding personal data of natural persons.
6. Obligations of the customer
The customer is obliged to provide all information and data, such as personal details, which Let’s Talk Egyptian, in its opinion, requires for the correct, complete, safe and uninterrupted execution of the agreement, in a timely manner, in the desired form and manner to Let’s Talk Egyptian. If the information required for the execution of the agreement is not provided to Let’s Talk Egyptian on time, in the desired form or in the desired manner, Let’s Talk Egyptian is entitled to suspend the execution of the agreement and to charge the (additional) costs and hours resulting from the delay to the customer. The execution or delivery period will only commence after the customer has provided the data to Let’s Talk Egyptian.
The customer is obliged to immediately inform Let’s Talk Egyptian of facts and circumstances that may be relevant in connection with the conclusion and further execution of the agreement.
The customer undertakes to make conditions as favorable as possible for Let’s Talk Egyptian. The customer is obliged to do and omit all that is reasonably necessary and desirable to enable a timely and correct execution of the agreement.
The customer may set high standards for the advice and services provided by Let’s Talk Egyptian, but the customer is responsible for the accuracy, completeness and reliability of the information and data provided by or on behalf of him to Let’s Talk Egyptian, even if these come from third parties. The customer always remains responsible and liable for the possible consequences of providing incorrect, incomplete and unreliable information and data.
The customer is always responsible for the use of the coaching, guidance and/or advice and for the purposes for which it was provided.
The customer is solely responsible for the safe use of the data and any login codes provided by Let’s Talk Egyptian and for their safekeeping. The customer should never provide or forward any login codes, materials, templates and modules obtained to third parties. Let’s Talk Egyptian is not liable for lost (digital) files and/or hacking thereof. If the customer provides Let’s Talk Egyptian with information carriers, electronic files and the like, the customer guarantees that these are free of viruses and defects.
The customer is solely responsible for the correct use of the services and (online) products provided and respecting the intellectual property rights of Let’s Talk Egyptian and any third parties involved in the execution.
The customer will have access to the online environment for one year. It is the customer’s own responsibility to view the material within the online environment in a timely manner. The customer can renew the access to the online environment after the term of one year, on a monthly basis (monthly subscription online environment) indefinitely.
Let’s Talk Egyptian has the right to immediately deny the customer access to an (online) program, training, workshop, masterclass et cetera if the customer disrupts the program, training, workshop or masterclass in any way, for example if directions and/or instructions of Let’s Talk Egyptian are not followed or if the customer causes nuisance. In this case, the customer is not entitled to a refund of payment.
For online programs, trainings et cetera, Let’s Talk Egyptian may use a third party platform. Let’s Talk Egyptian cannot guarantee that the platform is available at any time and at any location.
Let’s Talk Egyptian has the right to expand, limit or modify the content of its services and (online) products and to change the content, times and locations of meetings, if this is necessary or desirable in the opinion of Let’s Talk Egyptian.
In the case of group programs, feedback sessions take place monthly. It is the client’s own responsibility to attend these feedback sessions. Let’s Talk Egyptian cannot guarantee that every participant will actually receive feedback during the sessions: this also depends on the size of the group and the amount of questions et cetera discussed during the session.
7. Privacy
The customer’s data will be kept confidential and not shared with third parties, unless there is consent by the customer, a legal obligation or Let’s Talk Egyptian is acting for itself in a (legal) procedure.
Let’s Talk Egyptian takes the protection of data seriously and takes appropriate measures to prevent abuse, loss, unauthorized access, unwanted disclosure and unauthorized modification. Let’s Talk Egyptian will handle personal data of the customer with care. For more information check the privacy statement.
Let’s Talk Egyptian may take photos and visual material of the service on which the customer may be visible and share these on social media or other channels, for example during (live) events, unless the customer is recognizable in the picture and/or explicitly declares not to agree with this.
8. Payment and collection
The customer can only use the payment methods offered by Let’s Talk Egyptian. Payment via the website is made via Membirds and Stripe, unless otherwise indicated.
Payment must be made by the customer before the start of the services.
If payment is by invoice, the customer must pay the invoice within 7 days after the invoice date.
In case of payment in installments, the first installment must always be paid by the customer before the start of the services.
Subsequent installments are collected by direct debit. If payment by direct debit fails, Let’s Talk Egyptian is entitled to suspend the execution of the agreement until payment has been made. Let’s Talk Egyptian is also entitled to charge an administration fee of €25 per missed direct debit.
If payment is by direct debit, the customer directly authorizes direct debit via an E-mandate during payment of the first installment.
Let’s Talk Egyptian has the right to change its prices in mid-term, if Let’s Talk Egyptian deems it necessary. If the prices of offered services and/or products increase after the conclusion of the agreement, the customer is entitled to cancel the agreement with Let’s Talk Egyptian as of the date the price increase takes effect. Price increases due to a legal regulation or legal provision is hereby excluded, such as the level of wages and raw material prices or VAT increases.
Let’s Talk Egyptian may furthermore increase the agreed amount if, during the execution of the work, it appears that the original or expected amount of work was underestimated to such an extent at the time of entering into the agreement, and this is not attributable to Let’s Talk Egyptian, that Let’s Talk Egyptian cannot reasonably be expected to carry out the agreed work for the originally agreed amount.
Let’s Talk Egyptian reserves the right at all times to require full prepayment or any other security from the customer upon acceptance of the offer.
Objections to the invoice do not suspend the customer’s obligation to pay.
Payment will be made without deduction, set-off or suspension on any account.
In case of late or incomplete payment, Let’s Talk Egyptian reserves the right to suspend the execution of the agreement with immediate effect or to dissolve the agreement by written notice.
Without prior notice, Let’s Talk Egyptian is entitled to charge statutory interest from the due date until the date of full payment (15% of the agreed total amount with a minimum of €150).
Payments made by the customer will first be applied by Let’s Talk Egyptian to all interest and costs due and then to the longest outstanding payable invoices.
In the case of a jointly placed order, to the extent that the services and/or products are provided on behalf of the joint customers, the customers are jointly and severally liable for payment of the invoice amount, regardless of the name on the invoice.
Prices shown exclude VAT, which will be calculated and added at checkout in accordance with applicable tax regulations.
Rates are always exclusive of other costs such as travel time, travel costs, parking costs, any shipping and handling costs and third party costs, unless expressly agreed otherwise.
9. Inability to pay
Let’s Talk Egyptian is entitled to dissolve the agreement in writing without further notice of default and without judicial intervention, at the time when the (business) customer:
is declared bankrupt or files for bankruptcy;
applies for (temporary) suspension of payment;
is the subject of an attachment order;
is placed under guardianship or administration;
otherwise loses the power of disposition or legal capacity with respect to all or part of his assets.
10. Cancellation of the agreement
The agreement concluded between the parties ends upon the death of the owner of Let’s Talk Egyptian or the customer in the case of a sole proprietorship or upon the liquidation or dissolution of the company of Let’s Talk Egyptian.
If the work to be carried out by Let’s Talk Egyptian is not completed at the end of the agreement, its heirs are not obliged to complete this work (or have it completed), even if Let’s Talk Egyptian’s business is continued in any way.
If the customer wishes to dissolve or cancel the agreement, he will owe Let’s Talk Egyptian compensation for costs already incurred as well as compensation for damages to be determined by Let’s Talk Egyptian. This additional compensation will include all damages incurred due to the cancellation including lost profit. Let’s Talk Egyptian will be entitled to charge the aforementioned compensation, in addition to payment of costs already incurred, as follows (unless expressly agreed otherwise):
Group programs and 1-on-1 coaching (Talk Like an Egyptian):
mid-term cancellation is not possible. In this case, the client must pay 100% of the agreed total amount of the entire collaboration (from the start of the execution of the agreement).
Other digital products or services:
no refund possible. The customer gets direct access to digital products or services, such as online trainings and masterclasses, when purchasing them, so no refund is possible.
Monthly subscriptions of online environment:
the customer can cancel the monthly subscription. The customer has the choice to do so per the next debit date or immediately. In case of cancellation there will never be a refund of already paid monthly amounts. In case of cancellation, access to the online environment will be closed to the customer as of the date of cancellation.
In all cases, in addition to the cancellation fee, the customer must also pay the costs of third parties.
The customer will be liable to third parties for the consequences of the cancellation and will exempt Let’s Talk Egyptian for any resulting claims by these third parties.
Let’s Talk Egyptian has the right to set off all amounts already paid by the customer against any damages or cancellation fees owed by the customer.
Let’s Talk Egyptian has the right to terminate the agreement at any time, for any reason, without being obliged to pay any damages. Customer will then only be obliged to pay the already executed part, unless explicitly agreed otherwise.
The client may reschedule a scheduled session within 1-on-1 pathways no later than 48 hours before the session in question. In consultation with Let’s Talk Egyptian the session will be rescheduled. This must take place within 1 month. Within a 1-on-1 trajectory the client can reschedule a session a maximum of one time.
11. Suspension and dissolution
Let’s Talk Egyptian is entitled to suspend the fulfilment of its obligations until all due and payable claims against the customer have been paid in full, if (1) the customer fails to fulfil or fails to fully fulfil its obligations under the agreement, or (2) if Let’s Talk Egyptian becomes aware of circumstances that give it good reason to fear that the customer will not be able to (properly) fulfil its obligations, or (3) if at the conclusion of the agreement the customer is requested to provide security for the fulfilment of its obligations under the agreement and such security is not provided.
Let’s Talk Egyptian is also authorized to dissolve the agreement (have the agreement dissolved) in the situations mentioned in the first paragraph of this article, or if other circumstances arise of such a nature that fulfillment of the agreement is impossible or can no longer be required by standards of reasonableness and fairness.
The agreement will be dissolved by written notice and without judicial intervention.
If the agreement is dissolved, Let’s Talk Egyptian’s claims against the customer will become immediately due and payable.
Let’s Talk Egyptian reserves the right to claim compensation and is not liable for any damages or costs incurred by the customer or third parties.
12. Force majeure
If the implementation of the agreement becomes impossible due to a cause that cannot be attributed to Let’s Talk Egyptian or due to which Let’s Talk Egyptian cannot reasonably be expected to comply with its obligations, including but not limited to illness of itself or third parties, malfunctioning of the computer network or other technical malfunctions, shortcomings of third parties, late or incomplete delivery by postal and delivery services, government measures delivery services, government measures, epidemics and pandemics, extreme weather conditions and other stagnation in the normal course of business within its company, then Let’s Talk Egyptian is entitled to suspend the execution of the agreement.
In these general terms and conditions, force majeure will mean: a circumstance that cannot be attributed to the fault of Let’s Talk Egyptian and cannot be attributed to Let’s Talk Egyptian by virtue of the law, legal act or generally accepted practice. In addition to this interpretation of force majeure under the law and jurisprudence, force majeure also includes: all external causes, foreseen or unforeseen, over which Let’s Talk Egyptian has no influence, but which prevent Let’s Talk Egyptian from fulfilling its obligations.
In the event of force majeure, Let’s Talk Egyptian will make reasonable efforts to provide an alternative solution if required. Let’s Talk Egyptian reserves the right to suspend the agreement in case of force majeure.
If the force majeure situation occurs at a time when Let’s Talk Egyptian has partially fulfilled its obligations or will be able to fulfil them, Let’s Talk Egyptian is entitled to invoice the part already fulfilled or the part to be fulfilled. The customer is obliged to pay this invoice as if it were a separate agreement.
From the moment that the force majeure situation has lasted for at least two months or is permanent in nature, both parties may dissolve the agreement by written notice without judicial intervention, without the parties being able to claim any compensations.
13. Liability and indemnification
Let’s Talk Egyptian is never liable for any kind of damage suffered by third parties. The customer will exempt and indemnify Let’s Talk Egyptian against all claims by third parties due to or resulting from the execution of the agreement.
Liability of Let’s Talk Egyptian for damage caused by third parties is explicitly excluded. A customer should in that case turn directly to this third party.

a longer execution or delivery period than originally anticipated, regardless of the reason.
A claim for compensation by the customer must be submitted to Let’s Talk Egyptian no later than 14 days after the customer discovers or reasonably could have discovered the damage. Failure to file a claim for damages in a timely manner will result in the forfeiture of the right to damages. Notwithstanding the statutory limitation period, a limitation period of one year shall apply.
The provisions of this article apply except in case of intent or gross negligence of Let’s Talk Egyptian and its executives and in case mandatory provisions of law dictate otherwise.
14. Intellectual property rights

15. Complaints
Complaints regarding services and/or products provided and/or the invoice amount must be made in writing within 14 days after delivery, execution or the shipping date, or within 14 days after discovery of the defect – if the customer demonstrates that he could not reasonably detect the defect earlier – to be made known to Let’s Talk Egyptian.
